Approvals

“Approval” is the granting of consent by a person, company or business, for their details to be added to documents in relation to a specific role(s). This consent is to be granted where a document is submitted by someone other than that person, company or business being added. For example:

  • the intended directors must give consent to the incorporator to use their details on the incorporation application
  • the intended secretary must give consent to the company to use their details on the document

An “Approval” is:

  • a safety measure built into CRAs to ensure that the CRA Identity PIN is not used without the knowledge of the PIN holder
  • granted through the CRA, after which the person submitting the document can enter the name and PIN of the other party(ies) in order to add their details to the form
  • used when persons, companies and businesses intend hold any of the roles stated below (applicable only to documents being submitted through CROS)

Approval must be given to hold any of the following roles:

  • Attorney - a person appointed to act as attorney by power of attorney in relation to external company registrations
  • Controller - the controller of a non-profit organisation
  • Director - the director of a company (profit or non-profit)
  • Incorporator - the person who signs the articles of incorporation
  • Partner - a partner of a firm/partnership
  • Secretary - the secretary or assistant secretary of a company (profit or non-profit)
  • Statement Signatory - a person who signs the statement on articles of incorporation or the application for registration of an external company.

Types of Approvals

  • Yet to be - where a person or company intends to hold a role(s) in a company being incorporated, or business or non-profit organisation or external company being registered. The approval is tied to the approved name reservation, so that the person who obtained the name approval and who is submitting the relevant documents may then use the name and PIN of those to be added.
  • Existing - where a person, company or business intends to hold a role(s) in an already incorporated (existing) company.

How to grant an Approval

Individuals

  • log into CROS using the Individual Role
  • Select “My Account”, click “Approval”, and enter the:
    • Type - whether “yet to be” or “existing”
    • Role - the role you intend to hold
    • Identifier - the name reservation number (yet to be) or company/business identifier (existing)
    • Name - the proposed name (yet to be) or company/business name (existing)

Companies

  • log into CROS using the Director or Secretary Role
  • Select “My Account”, click “Approval”, and enter the:
    • Type - whether “yet to be” or “existing”
    • Role - the role the company intends to hold
    • Identifier - the name reservation number (yet to be) or company/business identifier (existing)
    • Name - the proposed name (yet to be) or company/business name (existing)

Businesses

  • log into CROS using the Partner of a Firm/Partnership Role
  • Select “My Account”, click “Approval”, and enter the:
    • Type - “Existing”
    • Role - Secretary
    • Identifier - the company identifier (existing)
    • Name - the company name (existing)

How to withdraw an approval

Approvals may be withdrawn at any time. To do this:

Individuals

  • log into CROS using the Individual Role
  • Select “My Account”, click “Approval”
  • Click the trash icon to delete the approval
  • Click save

Companies

  • log into CROS using the Director or Secretary Role
  • Select “My Company”, click “Approval”
  • Click the trash icon to delete the approval
  • Click save

Businesses

  • log into CROS using the Partner of a Firm/Partnership Role
  • Select “My Business”, click “Approval”
  • Click the trash icon to delete the approval
  • Click save
