Companies Incorporated by Act of Parliament

Companies which are created by a specific piece of legislation are known as Companies Incorporated by Act of Parliament. These entities do not fall under the administration of the Registrar but may appear on records kept by the Registrar.

Companies Incorporated by Act of Parliament which hold any of the following positions must be registered in CROS:

  • Director
  • Secretary
  • Partner
  • Shareholder
  • Beneficial owner

Why Register?

Companies incorporated by Act of Parliament must be registered to connect the role of Member of a Company Incorporated by Act of Parliament/Corporation Sole to the CRA of each member of the entity (e.g. directors/trustees/managers/officers). This process assigns a CRA Identity PIN and creates an online profile for your entity, which is accessed through the role to:

  • manage the list of members of the entity
  • grant approvals for the entity’s details to be added to documents being submitted through CROS

How to register?

To register/activate the Company Incorporated by Act of Parliament and Corporation Sole (APO/CS) role you will need to submit information of the entity via online application. To do this:

  • login to CROS
    • Personal account – login
    • Associated account – select individual role
  • select “My Account,” “Register AOP/CS”
  • click “The Companies Registry account registration”
  • complete the application by submitting the:
    • name of the company incorporated by act of parliament
    • list of members (directors/managers/officers/trustees) by their name and CRA Identity PIN.
    • details of a contact person for the entity:
      • name and phone number
    • email address
    • current and postal address
    • list of companies and businesses with which the entity has an association (if applicable)
  • upload a copy of:
    • corporate instrument(s) of the entity
    • documentary evidence confirming the appointment of each person indicated as a member
    • for the contact person:
      • birth certificate
      • two forms of photo ID
      • a headshot (selfie) which clearly shows one of the submitted forms of photo identification next to your face

The Registry then reviews the information submitted against the documents uploaded. When the information has been authenticated, the Registry will register the Company Incorporated by Act of Parliament, which will add the role of Member of a Company Incorporated by Act of Parliament/Corporation Sole to the CRA of each member.
